Terms of Service

1. Acceptance of Terms

By accessing and using TeachEverywhere ("Service", "we", "our", or "us"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service.

2. Description of Service

TeachEverywhere is a platform that allows teachers to create and share online courses with students via shareable links. The platform provides tools for course creation, content management, modules, lessons, quizzes, and student enrollment tracking.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality and security of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at teacheverywhere@zohomail.com of any unauthorized use of your account.
• We strongly recommend enabling two-factor authentication (2FA) for enhanced account security.

4. Platform Role and Payments

• Off-platform payments: Students pay teachers directly. TeachEverywhere does not process, hold, escrow, or facilitate payments between students and teachers.
• Teacher responsibility: Teachers are solely responsible for setting prices, collecting payments, issuing receipts, handling refunds, and resolving any payment-related disputes with students.
• Subscription payments: TeachEverywhere only processes payments for teacher subscriptions (Free, Pro, Premium plans) through Paystack, our authorized payment processor.

5. Teacher Content and Intellectual Property

• Ownership: Teachers retain all rights, title, and interest in and to the content they create and upload to the platform.
• License Grant: By uploading content, teachers grant TeachEverywhere a limited, non-exclusive, royalty-free license to use, host, store, display, and reproduce the content solely for the purpose of operating and providing the Service.
• Content Responsibility: Teachers are solely responsible for ensuring their content complies with all applicable laws, regulations, and does not infringe on the intellectual property rights of third parties.
• Warranties: Teachers warrant that they have all necessary rights to upload and distribute their content.

6. Prohibited Uses

You may not use the Service to:

• Upload, post, or disseminate any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Infringe upon or violate any intellectual property rights or other proprietary rights
• Upload or transmit viruses, malware, or other malicious code
• Harass, intimidate, or abuse other users
• Attempt to gain unauthorized access to the platform, other accounts, or computer systems
• Use the Service for any fraudulent or deceptive purpose
• Spam, phish, or engage in any other unsolicited communications
• Violate any applicable Nigerian or international laws and regulations

7. Subscription Plans, Billing, and Cancellation

• Available Plans: TeachEverywhere offers Free, Pro, and Premium subscription plans with varying features, limits, and pricing.
• Pricing: Current pricing is displayed on our website and may be updated from time to time.
• Billing Cycle: Subscriptions are billed in advance on either a monthly or annual basis.
• Automatic Renewal: Subscriptions will automatically renew at the end of each billing period unless cancelled prior to the renewal date.
• Cancellation: You may cancel your subscription through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.
• Refunds: Subscription fees are generally non-refundable. Refunds may be considered only where required by applicable Nigerian law or at our sole discretion.

8. Content Moderation and Enforcement

We reserve the right, but not the obligation, to monitor, review, or remove any content or suspend or terminate accounts that violate these Terms of Service. We may take action without prior notice if we believe it is necessary to protect the platform, our users, or comply with legal obligations.

9. Termination of Service

We may terminate or suspend your account and access to the Service immediately, with or without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TEACHEVERYWHERE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEACHEVERYWHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless TeachEverywhere, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service, your content, or your violation of these Terms of Service.

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on this page with a new "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms of Service.
